Terms of Services

1) Introduction

Welcome to Amplify Avenue LLC (“Amplify Avenue,” “we,” “our,” “us”). These Terms of Service (“Terms”) govern your use of our website located at https://amplifyavenue.co and any content, functionality, or services offered on or through it (collectively, the “Site”). By accessing or using the Site, you agree to these Terms. If you do not agree, do not use the Site.

For paid services (e.g., TikTok Shop management, creator/UGC programs, consulting, media buying), a separate written agreement—such as a Service Agreement, Order Form, or SOW—will apply. If there is any conflict, that written agreement controls for the covered services.

2) Eligibility

You must be at least 18 years old to use the Site. By using the Site, you represent that you are at least 18 and have legal capacity to agree to these Terms.

3) Accounts (if applicable)

Some features may require an account (e.g., client portal). You agree to provide accurate information and keep it updated. You are responsible for safeguarding your credentials and for all activity under your account. Notify us immediately of any unauthorized use

4) Acceptable Use

You agree not to:

    • Violate any law or these Terms;
    • Interfere with or disrupt the Site, servers, or networks;
    • Access or attempt to access non-public areas or systems;
    • Use any scraper, spider, robot, or similar means to access or copy Site content (except standard indexing by public search engines);
    • Upload or transmit viruses, malware, or harmful code;
    • Use the Site to send unauthorized advertising or spam.

We may suspend or terminate access for violations.

5) Intellectual Property

The Site and its contents (text, graphics, logos, images, videos, software, and the selection/arrangement thereof) are owned by Amplify Avenue LLC or our licensors and are protected by intellectual-property laws. Except as expressly permitted, you may not copy, modify, distribute, create derivative works, publicly display, or exploit any Site content without our prior written consent.

6) User Content & Feedback

If you submit or upload content (e.g., inquiries, testimonials, case-study permissions, comments, feedback), you grant Amplify Avenue a non-exclusive, worldwide, royalty-free, transferable, sublicensable license to use, reproduce, modify, publish, and display such content for operating, improving, and marketing the Site and our services. You represent you have all necessary rights and that your content does not infringe others’ rights or violate laws. We may remove content at our discretion.

7) Bookings, Payments & Refunds (Site)

We may offer discovery calls or paid consultations booked via third-party tools (e.g., Calendly) and paid through third-party processors (e.g., Stripe, PayPal). Those providers’ terms and privacy policies apply. Fees, if any, will be shown at checkout. Unless expressly stated otherwise, all Site-based payments are non-refundable.
 For ongoing or project services, the applicable Service Agreement or SOW governs fees, invoicing, deliverables, and any refund terms.

8) Service-Specific Notes (Marketing, UGC/Creators, TikTok Shop, Ads)

  • No Guaranteed Results. Marketing and advertising outcomes depend on many variables (platform policies, competition, budgets, inventory, creative performance, etc.). 
  • Compliance. You are responsible for your brand’s and products’ compliance with applicable laws and with third-party platform terms (e.g., TikTok, Amazon, Meta). We cannot and do not guarantee approvals, reinstatements, or outcomes with any platform. 
  • Authorizations. If services require us to access your accounts or data, you grant us the necessary rights to do so solely to provide the services. 
  • Third-Party Costs. Ad spend, creator fees, samples, shipping, platform fees, and similar third-party costs are your responsibility unless otherwise agreed in writing. 

9) Third-Party Links & Tools

The Site may link to or integrate third-party websites, tools, or services. We do not control and are not responsible for third-party content, policies, or practices. Your use of them is at your own risk and may be governed by separate terms.

10) Privacy

Our Privacy Policy explains how we collect and use information. By using the Site, you consent to our data practices described there.

11) Disclaimers

The Site and all content are provided “as is” and “as available.” To the fullest extent permitted by law, we disclaim all warranties, express or implied, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement. We do not warrant that the Site will be uninterrupted, secure, or error-free, or that defects will be corrected. We do not warrant or guarantee any results from marketing, UGC/creator programs, ads, or other services unless expressly stated in a signed agreement.

12) Limitation of Liability

To the fullest extent permitted by law, in no event will Amplify Avenue LLC, its affiliates, owners, employees, contractors, or licensors be liable for any indirect, incidental, consequential, special, exemplary, punitive, or enhanced damages; loss of profits, revenue, goodwill, data, or business interruption; or substitute goods/services, arising out of or related to the Site or our services, even if advised of the possibility of such damages.
 Our total liability for any claim arising out of or relating to the Site will not exceed the greater of (a) USD $100 or (b) the amount you paid to us for Site-based services in the 12 months preceding the claim. For paid services governed by a Service Agreement/SOW, any liability cap in that agreement controls.

13) Indemnification

You agree to defend, indemnify, and hold harmless Amplify Avenue LLC and our affiliates, owners, employees, and contractors from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising from or related to: (i) your use of the Site; (ii) your breach of these Terms; (iii) your violation of any law or third-party rights; or (iv) content you submit.

14) Changes to the Site and Terms

We may update or discontinue the Site (in whole or part) at any time without notice. We may revise these Terms by posting an updated version on the Site with a new “Effective Date.” Your continued use after changes become effective constitutes acceptance.

15) Suspension/Termination

We may suspend or terminate your access to the Site at any time for any or no reason, including if we believe you have violated these Terms.

16) Governing Law & Venue (No Arbitration)

These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. You and Amplify Avenue agree to the exclusive jurisdiction and venue of the state and federal courts located in Texas, USA, for any dispute arising from or relating to these Terms or the Site. No arbitration clause applies.

17) Miscellaneous

  • Entire Agreement. These Terms (plus any referenced policies) are the entire agreement between you and us regarding the Site. 
  • Severability. If any provision is found unenforceable, the remaining provisions remain in effect. 
  • No Waiver. Our failure to enforce any provision is not a waiver. 
  • Assignment. You may not assign these Terms without our prior written consent; we may assign them in connection with a merger, acquisition, or sale of assets.
